Terms and Conditions.
1. Capensys will supply to the individual named above and herein referred to as Associate Courseware Developer (ACD) a copy of a Captivate house-style template for the purposes of developing courseware in this style.
a. This copy of The Template will at all times remain the property of Capensys Ltd and cannot be loaned or supplied to any other party by the ACD under any form whatsoever.
b. Nor must the ACD make any attempt to reverse engineer or in any way make use of The Template software for any other purpose than the development of generic courseware as specified in this Agreement.
c. All intellectual property contained within this copy of The Template remains the property of Capensys Ltd.
2. This copy of The Template is solely to be used for the development of generic courseware for resale by Capensys Ltd under the arrangements detailed in Term 6.
3. This copy of The Template is not to be used for custom or bespoke courseware development, nor can it be used for the development of products that compete directly with existing Capensys courses or products.
4. Courses developed by the ACD will be returned to Capensys via Marion Deland.
5. Termination – At the end of this initial trial, all copies of software, the Template, and courses developed using the Template will be returned to Capensys by the ACD, unless otherwise agreed in writing.
6. The ACD undertakes not to divulge any information about this initiative to any other person or Firm, unless otherwise agreed in writing.
